Terms of Service

Effective date September 5, 2026 · Last revised September 5, 2026

Article 1 (Purpose)

These Terms of Service ("Terms") set out the rights, obligations, and responsibilities of 이레랩 ("Company") and its users in connection with the use of the inventory management service "HeroG" ("Service") provided by the Company.

Article 2 (Definitions)

  1. Service: refers to the HeroG web service and all related features provided by the Company.
  2. User: refers to a member who uses the Service under these Terms.
  3. Account: refers to the login credentials issued by the Company to identify a User.
  4. Team: refers to the unit in which inventory data is stored, being a space that one or more Accounts may use together.
  5. Owner: refers to a User who created a Team, or who received transfer of authority over it, and who manages the Team.
  6. User Data: refers to all data entered or stored in the Service by a User, including items, receiving and shipping records, and business partner information.

Article 3 (Effect and Amendment of the Terms)

  1. These Terms take effect upon being posted on the Service.
  2. The Company may amend these Terms to the extent it does not violate applicable laws.
  3. If the Company amends these Terms, it will state the changes and the effective date and post them on the Notices page starting 7 days before the effective date. For changes unfavorable to Users, the Company will post the notice starting 30 days before the effective date and, during that same period, will separately notify each User by the email address registered at sign-up or through an in-service notification.
  4. A User who does not agree to the amended Terms may terminate the service agreement. If the Company, when giving notice under the preceding paragraph, also stated that "failure to object within the notice period will be deemed consent," and the User does not object within that period, the User will be deemed to have agreed to the amended Terms.

Article 4 (Formation of the Service Agreement)

  1. The service agreement is formed when a User agrees to these Terms and applies for membership, and the Company accepts that application.
  2. Sign-up may be made by email or through an external account designated by the Company (Kakao, Naver, Google, or LINE).
  3. The Company may refuse to accept an application, or may later terminate the service agreement, if the application falls under any of the following:
    • using another person's name or providing false information;
    • having a prior history of restricted use due to a violation of these Terms;
    • having a clear purpose of disrupting the normal operation of the Service;
    • the applicant is under 14 years of age;
    • the Company lacks sufficient facilities or has a technical obstacle. In this case, the Company may defer acceptance until the cause is resolved, and will notify the applicant of that fact.

Article 4-2 (Minors)

  1. A person under 14 years of age may not sign up for the Service.
  2. Where a minor uses a paid service, the consent of a legal representative may be required under applicable law.
  3. If a minor enters into a contract without the consent of a legal representative, the minor or the legal representative may rescind that contract in accordance with applicable law.

Article 5 (Accounts and Teams)

  1. The User is responsible for managing their Account and may not transfer or lend the Account to a third party.
  2. A User may create a Team, and the Owner may invite other Users to join as Members.
  3. An invitation to become a Member is effective only if the email address designated at the time of invitation matches the email address of the account signing up.
  4. A Team has two roles: Owner and Member. The Owner may grant or revoke a Member's permissions.
  5. An Owner may transfer Owner authority to a Member of the same Team.
  6. If the Owner cannot be reached and the Team therefore cannot be managed, a Member may request the Company, through Contact, to transfer Owner authority. In such a case, the Company will verify the applicant's authority using materials such as a business registration certificate that confirm the authority to manage that Team, and will then transfer the authority. If verification cannot be completed, the Company will decline the transfer.
  7. Only the Owner may request the termination or deletion of an entire Team. A Member's withdrawal or deletion of their account is not treated as termination or deletion of the Team.

Article 6 (Description of the Service)

The Company provides the following features. Specific features may change as the Service is improved.

  • Item registration and unit/container configuration
  • Transaction records — receiving, shipping, adjustments — and inventory lookup
  • Grade-based management, sorting/processing records, and loss records
  • Aggregate reports such as sales and cost
  • Notifications and data export
  • Team member management
  1. The Company may offer a new feature as a "beta" or "trial" feature. A beta feature is more likely than a regular feature to change or be discontinued and may contain errors, and the Company will indicate this on the Service screen. The scope of liability for results arising from the use of a beta feature is governed by Article 17.
  2. The Company may provide features that integrate with external services (application programming interfaces, login, email/notification delivery, cloud services, etc.). Some features may be restricted due to an outage, policy change, or discontinuation of the relevant external service, and where this has a material impact on use, the Company will endeavor to give advance notice.

Article 7 (Paid Services and Payment)

  1. The Company may provide some features of the Service for a fee, and the fee, billing cycle, subscription period, and features provided are displayed on the pricing screen within the Service.
  2. Where a User applies for a subscription product, the Company will display in advance the payment amount, billing cycle, first billing date, whether it renews automatically, and the method of cancellation.
  3. A subscription product may automatically renew according to the set billing cycle until the User cancels it, and the Company may charge the fee through the payment method to which the User has previously agreed.
  4. For a product that converts to a paid subscription after a free period, or where the subscription fee is increased, the Company will give the required notice and obtain the required consent in accordance with the period and method set by applicable law.
  5. A User may cancel a subscription, before the next payment, on the subscription management screen within the Service.
  6. If the Company changes the fee, it will give notice in the manner set out in Article 3, Paragraph 3. The fee in effect before the change will apply to a subscription period already paid for.
  7. If the limit set by a plan is exceeded, the Company will restrict only the ability to create new records, and will not restrict the ability to view or export records already created.
    • Available — viewing inventory and records, exporting data, correcting and canceling already-registered receiving/shipping records, stocktaking, location transfers, and changing plans
    • Restricted — registering new receiving records, registering new shipping records, and inviting new Members
The reason both receiving and shipping are restricted together is that if only one is blocked, the recorded inventory keeps drifting further from the actual inventory. Stopping both together keeps the ledger at the state it was in when the limit was exceeded. The Company will not prevent a User from viewing or downloading their own data on account of fees.

Article 8 (Free Trial)

  1. The Company may offer a free trial that allows a paid service to be used free of charge for a set period.
  2. Before applying for a free trial, the Company will display the trial period, end date, scheduled date of first payment, payment amount, billing cycle, and whether it renews automatically.
  3. The free trial period may be calculated according to criteria the Company has displayed in advance, such as a method that sets the first billing date as the same calendar day of the following month from the application date, and the actual number of free days may vary depending on differences in the number of days in each month.
  4. Where the free trial ends and converts to a paid subscription, the Company will give the required notice and obtain the required consent in accordance with applicable law.
  5. If the User cancels the subscription before the first payment, or does not consent to the conversion to a paid subscription, the first paid charge will not be made.
  6. Whether a free trial is offered, and its duration and eligibility, may vary depending on promotions and similar factors, and the Company will display the applicable conditions before the application.

Article 9 (Withdrawal and Refunds)

  1. A User who is entitled under applicable law to withdraw an application may request withdrawal within the period set by applicable law.
  2. Withdrawal may be restricted where a restriction on withdrawal set by applicable law applies, such as where provision of the paid service has begun with the User's consent.
  3. Where withdrawal is restricted, the Company will display that fact before payment in a manner the User can easily confirm.
  4. Where the Service is provided in a manner different from its labeling, advertising, or the terms of the contract, the User may withdraw the application within the period set by applicable law.
  5. Where the Company operates a separate refund policy more favorable to the User than applicable law, that policy may apply.
  6. For annual subscriptions, the user may request cancellation at any time, and the Company shall refund the amount calculated as follows.
    1. Within 7 days of payment and the paid service has not been used: the full amount paid
    2. Within 7 days of payment but the paid service has been used: the amount paid less the portion used
    3. Where neither item 1 nor item 2 applies: the amount paid less the amount corresponding to the period used. No separate cancellation penalty is deducted.
  7. The "amount corresponding to the period used" in paragraph 6 is calculated by multiplying the number of days used by the daily rate derived from the plan's standard monthly price. Any discount applied to annual payment is returned upon early cancellation.
  8. At the user's option, the Company provides cancellation under which the paid service remains available until the end of the paid period and only the next payment does not occur; no refund is made in that case.
  9. Where the amount calculated under paragraph 6 is zero or less, no refund is made, and the Company shall not charge the user any additional amount.
  10. The Company displays the refund criteria in paragraph 6 before payment so that users can easily review them.

Article 10 (Payment Failure and Non-payment)

  1. Payment may fail to be processed normally due to reasons such as the registered payment method exceeding its limit, being suspended, or expiring.
  2. The Company will notify the User of a payment failure and may attempt to charge the payment method again for a set period.
  3. If payment is not made, the Company may provide a 7-day payment grace period.
  4. If payment is not completed within the grace period, the Company may restrict some or all paid services or terminate the relevant subscription.
  5. Even after a payment failure or termination of a subscription, the User's data will be handled in accordance with the Company's data retention policy and applicable law.

Article 11 (User Data)

  1. Rights in User Data belong to the User. The Company processes User Data only to the extent necessary to provide the Service.
  2. A User may download their own data as a file through a feature provided by the Service.
  3. Matters concerning the processing of personal information are governed by the Privacy Policy.
  4. If the service agreement is terminated, the Company will retain the User Data of that Team for 30 days from the date of termination, during which the User may download the data. After 30 days, the Company will delete the data. Deleted data cannot be recovered. However, information required to be retained under applicable law will be retained for that required period.
  5. An individual record that a User has directly deleted within the Service cannot be recovered. Please use the export feature to keep a separate copy of any important data.
  6. Where a User enters, or transmits through an external integration, the personal information of a third party — such as a customer, a business partner's contact person, an employee, or a delivery recipient — in the course of using the Service, the User must have the lawful authority or basis to collect and use that personal information. The Company processes that personal information only in accordance with the User's instructions and only to the extent necessary to provide the Service, and does not verify whether the User has obtained the necessary consent from the data subject. The specific roles and responsibilities of each party are as set out in the Privacy Policy, and the legal determination of any individual matter is governed by applicable law.
  7. The Company may back up User Data to the extent necessary for the stable operation of the Service. However, such backups are for the purpose of recovering from a service failure and do not mean that the Company will restore, at any time, an individual item of data that the User has deleted or altered.

Article 12 (Obligations of the Company)

  1. The Company complies with applicable law and these Terms, and endeavors to provide the Service in a stable manner.
  2. The Company maintains a security system to protect Users' personal information and complies with the Privacy Policy.
  3. Where the Company determines that an opinion raised by a User is justified, the Company will address it and notify the User of the outcome.

Article 13 (Obligations of the User)

A User must not engage in any of the following acts:

  • Using another person's account without authorization, or misappropriating another person's information
  • Reselling or reproducing the Service for commercial purposes without the Company's prior consent
  • Interfering with the stable operation of the Service (such as abnormal bulk requests or exploiting vulnerabilities)
  • Reverse-engineering the Service or extracting its source code without authorization
  • Accessing the Service excessively or collecting data using an automated tool, crawler, or scraping program, other than through the official features or permitted APIs provided by the Company
  • Registering or distributing data that violates applicable law or public order and morals
  • Entering into the Service information that infringes another person's rights

Article 14 (Restriction of Service Use)

  1. If a User violates Article 13, the Company may restrict use of the Service after giving prior notice. However, in urgent cases, the Company may act first and give notice afterward.
  2. Restrictions on use proceed, depending on the severity and repetition of the violation, in the order of warning → suspension → termination of the service agreement.
  3. At each stage, the Company will notify the User, by the email registered at sign-up, of the reason for and duration of the measure, and the User may raise an objection. If the Company determines the objection to be justified, it will lift the measure without delay.

Article 15 (Change and Suspension of the Service)

  1. The Company may change the content of the Service, and will give advance notice of any material change.
  2. The Company may temporarily suspend the Service where there is an unavoidable reason, such as equipment maintenance or replacement, a communications outage, or a natural disaster. Planned maintenance will be announced in advance.
  3. If the Company discontinues the entire Service, it will post notice on the Notices page starting 30 days before the discontinuation date and will notify Users by the email registered at sign-up or through an in-service notification. Users may download their own data during that period. Users on a paid plan will be refunded the fee corresponding to the period during which they were unable to use the Service.

Article 16 (Termination of the Agreement)

  1. A User may terminate the service agreement at any time through a feature within the Service or through Contact.
  2. If a User materially violates these Terms, the Company may terminate the service agreement following the stages set out in Article 14.
  3. Even if a User withdraws, the Team to which that User belonged, and the receiving/shipping and inventory records accumulated in that Team, will not be deleted. Those records remain with the Team and are managed by the Owner. Where the Team itself is terminated, it will be handled in accordance with Article 11, Paragraph 4.
  4. Where a User on a paid plan applies for termination, and the case does not constitute withdrawal under Article 9, paid use will end on the day the already-paid subscription period expires, and the User may continue to use the Service as-is until that day.

Article 17 (Limitation of Liability)

  1. The Company is not liable for a service failure caused by a reason beyond its control, such as a natural disaster or a failure by a telecommunications carrier.
  2. Calculation results provided by the Service, such as inventory, cost, sales, and statistics, are based on data entered by the User or integrated from external systems. The Company does not warrant the accuracy or completeness of information entered by the User, and is not liable for results arising from the User's incorrect entries. However, this does not apply where data entered by the User is mishandled or lost due to the Company's fault.
  3. Some features may be restricted due to a reason the Company cannot reasonably control, such as an outage, policy change, or discontinuation of an external service or third-party API.
  4. Where the Company is liable to compensate a User for damages, the amount of compensation is limited to the amount equivalent to the fees the User paid to the Company during the 3 months immediately preceding the occurrence of the damage. This limit does not apply where the Company acted intentionally or with gross negligence, or where liability may not be limited under applicable law.
  5. For services provided free of charge, the Company's liability may be limited, except where applicable law provides otherwise or the Company acted intentionally or with gross negligence.
  6. The limitations of liability in this Article do not apply where applicable law provides that the Company's liability may not be limited.

Article 18 (Dispute Resolution)

  1. In the event of a dispute, the Company and the User will resolve it through good-faith consultation.
  2. These Terms and the use of the Service are governed by the laws of the Republic of Korea.
  3. A lawsuit over a dispute not resolved through consultation will be filed with the court having jurisdiction under the Civil Procedure Act (민사소송법).

Article 19 (Intellectual Property)

  1. Intellectual property rights in the software, trademarks, screen designs, and documents created by the Company that make up the Service belong to the Company. A User may not reproduce, distribute, or transmit them, or create a derivative work based on them, without the Company's prior consent.
  2. Rights in the User Data that a User has entered into the Service belong to the User. The Company processes it only to the extent necessary to provide and maintain the Service and to respond to the User's requests.
  3. The Company does not use User Data for any purpose other than providing the Service. In particular, it does not use User Data for advertising, sale, or provision to third parties.
  4. When the Company compiles statistics to improve the Service, it uses User Data only after processing it so that no individual or individual business operator can be identified.

Article 20 (Notices and Contact)

  1. When the Company gives notice to a User, it will do so, unless otherwise provided in these Terms, by the email registered at sign-up or through an in-service notification.
  2. Notice to all Users may be given in lieu by posting on the Notices page. However, any matter unfavorable or material to Users will be individually notified by the method in Paragraph 1.
  3. A User must keep their contact information, such as the email registered with the Service, up to date. The Company is not liable for any disadvantage arising from a notice not reaching the User because the User failed to update their contact information. However, this does not apply where the Company acted intentionally or with gross negligence.
  4. When a User gives notice to or contacts the Company, the User will use the email address at Contact.

Article 21 (Other Rules)

Matters not provided for in these Terms, and the interpretation of these Terms, are governed by applicable law and commercial practice.

Where the Company and a User have separately agreed on a matter by a separate contract, proposal, quotation, or similar document, that agreement prevails over these Terms. However, this does not apply where that agreement violates applicable law or is unreasonably unfavorable to the User.

Article 22 (Governing Language)

The Company may provide translations of these Terms, such as in English and Japanese. Translations are provided for the User's convenience, and where there is a difference in content or interpretation between a translation and the Korean original, the Korean original governs, unless applicable law provides otherwise.

Addendum

  1. These Terms take effect on September 5, 2026.
  2. The previous Terms, effective from August 28, 2026, are superseded by these Terms as of their effective date.
